These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Viso Inc., a Delaware corporation ("Viso," "we," "us," or "our"), governing your access to and use of our websites, applications, APIs, software, and AI-powered visual reasoning platform (collectively, the "Service").
By accessing, creating an account for, subscribing to, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Eligibility & Acceptance
1.1 Minimum Age
You must be at least 13 years old to use the Service. If you are under 18, you represent and warrant that you have the consent of a parent or legal guardian to use the Service and to agree to these Terms.
1.2 Organizational Use
If you use the Service on behalf of a school, company, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
1.3 Compliance
You agree to comply with:
- All applicable local, state, national, and international laws and regulations; and
- Any academic integrity rules, honor codes, or institutional policies that apply to you.
1.4 Acceptance
Your access or use of the Service in any manner, including browsing the site, registering an account, or using free or paid features, constitutes your acceptance of these Terms.
2. Description of the Service
2.1 Core Functionality
Viso is an AI-powered visual reasoning and simulation platform that transforms abstract concepts into interactive, manipulatable visual environments. The Service may include:
- Interactive STEM visual simulations and diagrams
- AI-generated explanations, derivations, and reasoning traces
- Real-time 2D & 3D rendering and visual sandboxes
- Chat-based tutoring, reasoning, and explorations
- Conceptual modeling, experiment environments, and scenario testing tools
- Developer tools and APIs for integrating or extending visual experiences
2.2 No Guarantee of Outcomes
Viso is a support tool, not a replacement for teaching, studying, or professional judgment. We do not guarantee:
- Academic grades or exam outcomes
- Admission to institutions or programs
- Research correctness or reproducibility
- Business, financial, or professional results
2.3 AI & Model Behavior
The Service uses machine learning models that may:
- Generate incorrect, incomplete, or misleading information
- Omit citations or provide approximations
- Fail to reflect up-to-date information
You are responsible for independently verifying any output before relying on it.
3. Account Registration & Security
3.1 Registration
To access certain features, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information
- Update such information as necessary to keep it accurate and current
- Not create an account using false identity or on behalf of someone else without authorization
3.2 Credentials
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.3 Unauthorized Use
You agree to promptly notify us of any actual or suspected unauthorized access or use of your account at:
Viso is not responsible for any loss or damage arising from your failure to safeguard your account.
3.4 Account Limits
We may impose or modify limits on accounts (e.g., feature access, usage quotas, rate limits) at our discretion.
4. Subscriptions, Billing & Payments
4.1 Plans
Viso currently offers subscription plans, which may include:
- Viso Basic: $19.99/month
- Viso Pro: $24.99/month
We may offer additional tiers, trials, discounts, or promotions from time to time.
4.2 Billing & Payment Processor
- Subscriptions are billed monthly in advance.
- Payments are processed via third-party payment processors (e.g., Stripe).
- By subscribing, you authorize Viso and its payment processors to automatically charge your payment method on a recurring basis until you cancel.
4.3 Trials & Promotions
If you sign up for a trial:
- At the end of the trial, unless you cancel, your subscription will automatically convert to a paid plan, and your payment method will be charged.
- Specific trial or promotion terms may supplement these Terms.
4.4 Cancellation by You
- You may cancel your subscription at any time through your account settings or by contacting team@tryviso.ai.
- Your access to paid features will continue until the end of your current billing period.
- No refunds or credits are provided for partial billing periods, unused features, or downgrades.
4.5 Price Changes
- We may modify subscription prices with at least 30 days' notice (for example, via email or in-product notifications).
- Price changes will take effect at the start of the next billing cycle after the notice period.
- Your continued use of the Service after a price change constitutes your acceptance of the new pricing.
4.6 Taxes
Fees are exclusive of any taxes. You are responsible for paying any applicable sales, VAT, or similar taxes, excluding taxes based solely on Viso's income.
5. Acceptable Use, Academic Integrity & Prohibited Conduct
5.1 Academic Integrity
You agree not to use the Service in violation of any academic policy, and specifically not for:
- Cheating on exams, quizzes, or other assessments
- Submitting AI-generated work as your own where prohibited
- Contract cheating (e.g., using the Service to complete graded work on behalf of someone else)
- Circumventing plagiarism-detection or proctoring systems
You are solely responsible for understanding and complying with your institution's rules.
5.2 Prohibited Conduct
You agree not to:
Security & Abuse
- Attempt to probe, scan, or test the vulnerability of the Service
- Circumvent or attempt to circumvent security or authentication measures
- Introduce malware, viruses, or harmful code
- Launch or facilitate denial-of-service (DoS/DDoS) attacks
Misuse of AI & Content
- Generate or disseminate content that is unlawful, hateful, harassing, or abusive
- Use the Service to create, share, or simulate explicit violence, exploitation, or illegal activities
- Use outputs to mislead others (e.g., deepfake-style misuse, impersonation)
Reverse Engineering & Scraping
- Reverse engineer, decompile, or attempt to extract source code, models, or underlying systems
- Scrape, harvest, or systematically export data or outputs at scale, except as explicitly allowed by an API agreement
- Use automated tools (bots, scripts) to interact with the Service beyond documented APIs
Competing Systems
- Use the Service or its outputs to train, fine-tune, or improve competing AI systems or visual engines without our prior written consent
5.3 Enforcement
Viso may investigate and take action in response to violations, including:
- Warning notices
- Usage limits or feature restrictions
- Account suspension or termination
- Cooperation with law enforcement where required
6. User Content & License to Viso
6.1 User Content
"User Content" means any prompts, text, code, diagrams, data, files, or other materials you input, upload, or otherwise submit to the Service, as well as any custom visual scenes or configurations you design.
6.2 Ownership
As between you and Viso, you retain ownership of your User Content, subject to the licenses granted in these Terms.
6.3 License to Operate the Service
You grant Viso a non-exclusive, worldwide, royalty-free, sublicensable license to:
- Use, host, store, reproduce, process, and display your User Content
- Generate derivative works (such as rendered visuals, explanations, or scenes)
- Provide, maintain, secure, and improve the Service
6.4 Use for Improvement & Research
Unless you are on an explicitly designated "no-training" or "enterprise" arrangement that states otherwise, you grant Viso the right to use your User Content and interaction data to improve our models, visual engines, and features, including analytics and research.
6.5 Representations About Content
You represent and warrant that:
- You have all necessary rights, consents, and permissions to submit User Content and to grant the licenses above;
- Your User Content does not infringe or misappropriate any third-party rights;
- Your User Content complies with these Terms and applicable law.
6.6 Feedback
If you provide ideas, feedback, or suggestions about the Service ("Feedback"), you grant Viso a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without any obligation to you.
7. Viso Intellectual Property
7.1 Ownership
All rights, title, and interest in and to the Service—including:
- Software, code, and architecture
- AI and visual rendering models
- Scene specifications, schemas, and pipelines
- APIs, SDKs, and developer tools
- UI/UX designs, visual identity, logos, trademarks, and branding
are and will remain the exclusive property of Viso Inc. and its licensors.
7.2 Limited License to You
Subject to these Terms, Viso grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, educational, or internal business use.
7.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or otherwise attempt to extract source code or models
- Resell, sublicense, or commercially exploit the Service, except as expressly permitted under a separate written agreement
- Remove or alter any proprietary notices or branding
8. Service Availability, Changes & Beta Features
8.1 Availability
We aim to keep the Service available but do not guarantee continuous, uninterrupted, or error-free operation. The Service may be unavailable due to maintenance, updates, or network issues.
8.2 Modifications
We may:
- Add new features or functionality
- Modify or remove existing features
- Modify usage limits or performance characteristics
We will attempt to notify users of material changes, but we are not obligated to maintain any particular feature or roadmap.
8.3 Beta or Experimental Features
From time to time, Viso may label certain features as "beta," "experimental," or similar:
- Such features may be unstable, incomplete, or changed at any time.
- You use them at your own risk, and we disclaim all warranties related to them to the maximum extent permitted by law.
9. Third-Party Services & Links
9.1 Integrations
The Service may integrate with third-party tools, APIs, or platforms (e.g., learning management systems, cloud storage, or developer tools). Your use of such third-party services is governed solely by their own terms and policies.
9.2 Links
The Service may contain links to third-party websites or content. Viso does not endorse, control, or assume responsibility for any third-party content or services.
10. Termination & Suspension
10.1 By You
You may terminate your account at any time by:
- Using in-product account settings (where available), or
- Contacting team@tryviso.ai
Termination of your account or subscription does not entitle you to a refund unless required by law.
10.2 By Viso
We may suspend or terminate your access to the Service, in whole or in part, if:
- You violate these Terms or other applicable policies
- You engage in illegal, abusive, or harmful behavior
- You fail to pay fees when due
- We discontinue all or part of the Service
In serious cases (e.g., security threats, abuse, or fraud), we may terminate or suspend immediately without prior notice.
10.3 Effect of Termination
- Upon termination, your right to use the Service will cease.
- Certain provisions of these Terms will survive termination, including Sections relating to intellectual property, indemnification, limitation of liability, governing law, and dispute resolution.
11. Disclaimers
11.1 "As Is" & "As Available"
The Service and all content (including AI-generated content) are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied.
11.2 No Warranties
To the fullest extent permitted by law, Viso disclaims all warranties, including:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding accuracy, reliability, or completeness of outputs
- Warranties that the Service will be uninterrupted, error-free, secure, or free of harmful components
11.3 No Professional Advice
Viso does not provide legal, medical, financial, educational, or other professional advice. You should not rely on AI outputs as a substitute for professional judgment.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
12.1 Exclusion of Certain Damages
Viso and its officers, directors, employees, and agents will not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, goodwill, data, or business opportunities
arising from or related to your use of (or inability to use) the Service.
12.2 Liability Cap
In no event will Viso's total liability arising out of or relating to these Terms or the Service exceed the greater of:
- The amount you paid to Viso for the Service in the 12 months preceding the event giving rise to the claim; or
- $100 USD, if you have not paid any amounts to Viso.
12.3 Basis of the Bargain
The limitations in this Section are fundamental elements of the basis of the bargain between you and Viso.
13. Indemnification
You agree to indemnify, defend, and hold harmless Viso and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or relating to:
- Your use or misuse of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights (including intellectual property rights, privacy rights, or contractual rights)
14. Governing Law & Dispute Resolution (Delaware; Arbitration)
14.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
14.2 Informal Resolution
Before initiating formal legal proceedings, you agree to first contact us at team@tryviso.ai and attempt to resolve the dispute informally in good faith.
14.3 Binding Arbitration
If a dispute is not resolved informally within a reasonable time (e.g., 30 days), it shall be resolved by binding individual arbitration, rather than in court, except where prohibited by law. Arbitration will be conducted by a recognized arbitration provider under its applicable rules.
14.4 No Class Actions
You agree that:
- Disputes will be resolved only on an individual basis; and
- You will not bring or participate in any class, collective, or representative action or proceeding against Viso.
14.5 Injunctive Relief
Notwithstanding the above, Viso may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or address actual or threatened infringement, misappropriation, or violation of our intellectual property or proprietary rights.
15. Data, Privacy & Security
15.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.
15.2 Data Processing
You acknowledge that:
- Data (including User Content and usage logs) may be processed, transmitted, or stored in other jurisdictions;
- Third-party vendors may process data on our behalf under appropriate agreements.
15.3 Security
We implement commercially reasonable security measures, but no system is completely secure. You acknowledge that:
- You use the Service at your own risk;
- You are responsible for maintaining appropriate backups of your important data.
16. Changes to These Terms
16.1 Right to Modify
We may update or modify these Terms from time to time.
16.2 Notice
For material changes, we will provide notice by:
- Email to the address associated with your account; and/or
- In-product notifications or banners.
16.3 Effective Date
Revised Terms become effective on the date indicated in the "Last Updated" line above. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with any applicable additional terms and our Privacy Policy, constitute the entire agreement between you and Viso regarding the Service, and supersede all prior agreements.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
17.3 No Waiver
Viso's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
17.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. Viso may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
17.5 Export & Sanctions Compliance
You represent that you are not located in, and will not access the Service from, any jurisdiction subject to comprehensive U.S. sanctions, and that you are not a prohibited party under applicable export control or sanctions laws.
